Terms of Service — Givonit

Welcome to Givonit. By accessing or using givonit.com (the "Platform"), you agree to these Terms of Service ("Terms"). Please read them carefully.

1. What Givonit Is

Givonit is a donation marketplace. We connect donors with verified nonprofit organizations (501(c)(3)s) by publishing specific needs that donors can fulfill by purchasing items directly from third-party retailers (Amazon, Walmart, Target). We are not a retailer, a charity, or a donation processor for goods. We do not take custody of donated goods or act as an intermediary in the fulfillment chain.

How we make money: Givonit earns affiliate commissions from retailers when donors follow our tracked links and complete a purchase. We do not take a percentage of donations. 100% of the value of goods purchased goes to the nonprofit receiving them. We also earn revenue from optional platform tips paid by donors via Stripe; tips are not tax-deductible.

2. Eligibility

You must be at least 18 years old to create an account. By using the Platform, you represent that you meet this requirement and that you have the legal authority to enter into these Terms.

3. Accounts

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@givonit.com if you suspect unauthorized access.

Organization administrators are required to enable multi-factor authentication. Accounts for Givonit staff and org admins without verified MFA cannot perform mutations (posting needs, changing addresses, etc.).

4. Nonprofit Verification

Nonprofits must provide their EIN and complete our verification process. Verification involves automated lookup against the IRS Tax Exempt Organization Search (Publication 78) and, where automation cannot confirm status, manual review by Givonit staff. Verification is not instantaneous. Givonit reserves the right to deny or revoke verification at any time if we determine that an organization does not meet our eligibility criteria or has violated these Terms.

Verified status does not constitute an endorsement of an organization's programs, management, or financial practices beyond confirmation of current 501(c)(3) status.

5. Posting Needs (Nonprofits)

Verified nonprofits may post specific item needs linked to retail product SKUs. By posting a need, the organization represents that:

The item is genuinely needed for charitable purposes.
The ship-to address is a valid address for the organization.
The organization will confirm receipt of fulfilled items honestly.

Givonit may remove needs that violate these Terms, contain inaccurate information, or are otherwise inappropriate, without notice.

6. Funding Needs (Donors)

When you click "Fund This" on a need, you are redirected to a third-party retailer's website via our affiliate link. The purchase transaction is between you and the retailer — Givonit is not a party to that transaction.

No guarantee of delivery. Givonit does not ship goods, does not hold inventory, and cannot guarantee that items will be delivered to the nonprofit. Retailer fulfillment is subject to the retailer's own policies. If a purchase is not delivered, your recourse is with the retailer (Amazon, Walmart, or Target).

Self-reporting. Donors and nonprofits independently self-report whether a need was funded and whether items were received. These reports are the ground truth for updating need status on the Platform. Givonit does not independently verify individual transactions.

7. Cash Donations

The Platform supports direct cash donations to verified 501(c)(3) organizations via Stripe Connect. Cash donations are processed by Stripe and transferred directly to the organization's connected Stripe account. Givonit does not hold donor funds. IRS-compliant receipts are generated and emailed automatically for cash donations to verified 501(c)(3)s.

8. Platform Tips

Donors may optionally tip Givonit to support the platform. Tips are processed by Stripe and are revenue for Givonit. Tips are not tax-deductible charitable contributions. Receipts for tips clearly state this.

9. Affiliate Disclosure

Givonit participates in affiliate programs with Amazon, Walmart, and Target. We earn a commission when donors purchase items through our tracked links at no additional cost to the donor. This is how we fund the platform without taking a percentage of donations. See our How It Works page for more detail.

10. Prohibited Uses

You may not use the Platform to:

Post fraudulent needs or misrepresent an organization's 501(c)(3) status.
Manipulate click or confirmation records (e.g., clicking your own affiliate links, falsely self-reporting receipt of items).
Scrape, crawl, or harvest data from the Platform without our written permission.
Interfere with or disrupt the integrity or performance of the Platform.
Use the Platform for any unlawful purpose or in violation of any applicable regulation.
Impersonate any person, organization, or entity, or misrepresent your affiliation with any of them.

11. Intellectual Property

Givonit and its licensors own all rights in the Platform's code, design, trademarks, and content. You may not reproduce, distribute, or create derivative works without our express written permission. Nonprofits grant Givonit a limited license to display their name, logo, and need descriptions on the Platform.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. GIVONIT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIVONIT'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO GIVONIT IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100. GIVONIT IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Disputes will be resolved in the state or federal courts located in Delaware.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above. Your continued use of the Platform after the effective date constitutes your acceptance of the revised Terms. For material changes, we will provide at least 14 days' notice via email or prominent in-app notice.
